1. Acceptance of Terms
Welcome to Road Dawg. These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and Road Dawg, Inc., a Delaware corporation ("Road Dawg," "we," "us," or "our"), governing your access to and use of the Road Dawg mobile application, website located at roaddawg.com, and all related features, content, and services (collectively, the "Service").
BY CREATING AN ACCOUNT, DOWNLOADING THE APP, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
These Terms include an arbitration clause and class action waiver in Section 15 that affect your legal rights. Please read that section carefully.
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years of age to use the Service. By accessing or using the Service, you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into a binding agreement.
If you are using the Service on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
We do not knowingly collect personal information from individuals under 18. If we learn that we have collected information from someone under 18, we will promptly delete that information and terminate the associated account.
3. Account Registration and Security
3.1 Registration. To access most features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and to keep that information updated.
3.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at legal@roaddawg.com if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
3.3 One Account Per Person.You may not create multiple accounts, share your account with others, or use another person's account without their permission.
3.4 Account Termination by You. You may close your account at any time through the account settings in the app or by contacting us at legal@roaddawg.com. Upon termination, certain provisions of these Terms will survive, as described in Section 14.
4. The Service
4.1 Description. Road Dawg is an AI-powered travel discovery platform designed for independent travelers. The Service includes:
- Max — an AI travel companion that learns your preferences and provides personalized recommendations, itinerary planning, and travel assistance using real-time data;
- Explore — a personalized feed of places, experiences, and travel content;
- Map — geographic discovery with filterable content;
- Trips — saved itineraries and AI-generated trip planning tools;
- Social Features — connecting with other travelers, following profiles, and sharing experiences.
4.2 Service Availability. We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Service at any time without liability to you, provided we give reasonable notice where practicable.
4.3 Beta and Alpha Releases. Certain features may be released in alpha or beta form for testing. These features may be unstable, incomplete, or subject to significant change. Your use of alpha or beta features is at your sole risk.
5. Max — AI Companion Disclosures
5.1 AI-Generated Content. Max is an artificial intelligence system. Responses, recommendations, itineraries, and other content generated by Max are produced by AI models and are provided for informational and entertainment purposes only.
5.2 Not Professional Advice.Nothing Max communicates constitutes professional travel, medical, legal, financial, safety, or emergency advice. You should not rely on Max's output as a substitute for professional judgment. Road Dawg expressly disclaims all liability arising from reliance on Max's responses as professional advice.
5.3 Accuracy of Information. Max draws on third-party data sources including, but not limited to, Google Places, flight data providers, and mapping services. While we work to provide accurate and timely information, we do not warrant that any information provided by Max — including prices, schedules, business hours, availability, or travel conditions — is accurate, complete, or current. You are responsible for independently verifying any time-sensitive or safety-relevant information before acting on it.
5.4 No Emergency Services. Max is not a substitute for emergency services. Do not use Max to contact emergency services or to address life-threatening situations. In any emergency, contact local emergency services immediately.
5.5 Learning and Personalization. Max learns from your interactions, stated preferences, travel history, and usage patterns to improve the quality of its recommendations over time. By using Max, you consent to this learning process as further described in our Privacy Policy.
5.6 Conversations. Your conversations with Max are processed by AI systems and are used to provide and improve the Service. Please do not share sensitive personal information (such as passwords, financial account details, or government identification numbers) in conversations with Max.
6. User Content
6.1 Your Content.The Service may allow you to submit, upload, or share content including photos, reviews, trip notes, and other materials ("User Content"). You retain ownership of your User Content.
6.2 License to Road Dawg. By submitting User Content, you grant Road Dawg a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and create derivative works of your User Content for the purpose of operating, improving, and promoting the Service. This license terminates when you delete your User Content or close your account, subject only to the technical retention windows described in our Privacy Policy (active data deleted within 30 days; backup systems purged within 90 days). We do not use deleted User Content in marketing or promotional materials after you request deletion.
6.3 Your Representations.You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not violate any third party's intellectual property rights, privacy rights, or other rights; and (c) your User Content complies with these Terms and all applicable laws.
6.4 Content Standards. You agree not to submit User Content that:
- Is false, misleading, or deceptive;
- Is defamatory, obscene, harassing, threatening, or abusive;
- Infringes any copyright, trademark, or other intellectual property right;
- Violates any person's privacy or right of publicity;
- Contains malware, viruses, or harmful code;
- Constitutes spam, unsolicited advertising, or commercial solicitation; or
- Violates any applicable law or regulation.
6.5 Moderation. We reserve the right, but not the obligation, to review, remove, or modify any User Content at any time and for any reason, including content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
- Interfere with or disrupt the integrity, security, or operation of the Service;
- Attempt to gain unauthorized access to any part of the Service or any related systems;
- Reverse engineer, decompile, or disassemble any aspect of the Service;
- Scrape, crawl, or use automated means to access or collect data from the Service without our written permission;
- Use the Service to transmit spam or unsolicited communications;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure;
- Circumvent, disable, or interfere with any security-related features of the Service; or
- Use the Service to collect information about other users without their consent.
8. Third-Party Services and Links
8.1 Third-Party Integrations. The Service integrates with third-party data providers, APIs, and platforms (including but not limited to mapping services, flight data providers, and review platforms). These third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party services.
8.2 Links. The Service may contain links to third-party websites or services. These links are provided for convenience only. We do not endorse, control, or assume responsibility for any third-party website or service, and your use of them is at your own risk.
8.3 App Stores.If you download the Service through the Apple App Store or Google Play Store, the terms of those platforms also apply to your use of the Service. In the event of a conflict between those terms and these Terms with respect to the app store's specific requirements, the app store's terms will govern.
9. Intellectual Property
9.1 Our Rights.The Service and all content, features, and functionality made available through it — including the Road Dawg name, logo, Max branding, software, design, graphics, and text — are the exclusive property of Road Dawg or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Road Dawg's trademarks, logos, or brand elements without our prior written consent.
9.2 Feedback.If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant Road Dawg a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback into the Service without any obligation to compensate you.
9.3 DMCA.If you believe your copyrighted work has been infringed by content on the Service, please send a notice complying with the Digital Millennium Copyright Act to legal@roaddawg.com with "DMCA Notice" in the subject line.
10. Subscriptions and Payments
10.1 Free and Premium Features.The Service may offer both free and paid premium features. Access to certain features may require a paid subscription ("Premium").
10.2 Billing. If you subscribe to Premium, you authorize us to charge your payment method on a recurring basis at the applicable subscription rate. All fees are stated in U.S. dollars unless otherwise specified.
10.3 Cancellation and Refunds. You may cancel your subscription at any time through the app or your app store account. Cancellation takes effect at the end of the current billing period. Except as required by applicable law or as otherwise stated at the time of purchase, fees are non-refundable.
10.4 Price Changes. We reserve the right to change subscription pricing at any time. We will provide reasonable notice of price changes, and your continued use of the Service after a price change constitutes your acceptance of the new pricing.
11. Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROAD DAWG EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES RELATING TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR DATA MADE AVAILABLE THROUGH THE SERVICE, INCLUDING CONTENT GENERATED BY MAX; AND (C) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We do not warrant the accuracy of travel information, business listings, hours, prices, transportation options, or any other information provided through the Service or Max.
Travel involves inherent safety and health risks. Road Dawg is not responsible for any personal injury, illness, death, property damage, financial loss, or other harm arising from your travel decisions, the conditions of any destination, or your reliance on any recommendation, itinerary, or other information provided through the Service. You assume full responsibility for your travel decisions and safety.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
(A) IN NO EVENT WILL ROAD DAWG, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST DATA, GOODWILL, OR ANY INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION AND WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) ROAD DAWG'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT YOU PAID TO ROAD DAWG IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
13. Indemnification
You agree to defend, indemnify, and hold harmless Road Dawg and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any dispute between you and another user of the Service. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with us.
14. Termination
14.1 Termination by Road Dawg. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.
14.2 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections 5, 6.2, 9, 11, 12, 13, 15, and 16 will survive termination indefinitely.
15. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
15.1 Informal Resolution. Before initiating any formal dispute, you agree to first contact us at legal@roaddawg.com and give us a reasonable opportunity (at least 30 days) to resolve the dispute informally.
15.2 Binding Arbitration.If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions about their existence, validity, interpretation, breach, or termination — will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted in English. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver.YOU AND ROAD DAWG EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. NEITHER YOU NOR ROAD DAWG MAY BE A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
15.4 Opt-Out Right.You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice to legal@roaddawg.com with the subject line "Arbitration Opt-Out" and including your name, email address, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in the courts described in Section 15.6.
15.5 Exceptions. Notwithstanding the above: (a) either party may bring an individual action in small claims court if the dispute qualifies; and (b) either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
15.6 Governing Law and Venue. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. To the extent arbitration does not apply and except for small claims court actions, you and Road Dawg consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or related to these Terms.
15.7 Time Limitation. Any claim arising out of or related to the Service or these Terms must be brought within one (1) year after the claim arises, or it is permanently barred.
16. General Provisions
16.1 Entire Agreement. These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Road Dawg regarding the Service and supersede all prior agreements.
16.2 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force. The class action waiver in Section 15.3 is not severable from the arbitration clause — if it is found unenforceable, the entire arbitration clause is void.
16.3 No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
16.4 Assignment. You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
